Plain terms for a plain purchase.

These are the terms for buying and using LedgerCaddy. They are written to be read, not skimmed past.

The short version

  • Buy it once and it is yours to use for as long as you like, on up to two Macs you own.
  • Your purchase includes all updates released in the 12 months after you buy. Maintenance after that is optional.
  • If you stop paying for maintenance, nothing is taken away. The version you have keeps working.
  • Your books are yours. We never see them and make no claim on them.

1. Who we are

LedgerCaddy is made and published by DART Management Inc., a company incorporated in Canada ("we", "us"). Purchases are processed by our payment provider, which acts as the merchant of record and is the seller of record for tax and payment purposes.

2. Free trial

You may use LedgerCaddy free of charge for 14 days from the first time you open it on a Mac. The trial includes every feature. When it ends, you can still open, browse, back up and export your books, but adding entries and running reports requires a license. You do not need to give us any payment details to use the trial.

3. Your license

When you buy LedgerCaddy you receive a license key. That key gives you a perpetual, non-exclusive, non-transferable license to install and use LedgerCaddy on up to two Macs that you own or control, for your personal or business bookkeeping. The license is for one person; each additional person who uses LedgerCaddy needs their own license. You may move the license between Macs by deactivating one Mac in the app's settings.

You may not resell, rent, sublicense or share your license key, reverse-engineer the app, remove its licensing, or use it to provide a bookkeeping service to third parties on their behalf without their own licenses.

4. Updates and maintenance

Prices are stated in US dollars. Our payment provider may show the equivalent in your local currency at checkout.

Your purchase includes every LedgerCaddy release published in the 12 months following your purchase date. After that, you may buy an optional annual maintenance renewal, which extends your updates window by 12 months from the later of your current window's end and the date of renewal.

If you choose not to renew, your license does not expire. Every version released within your updates window continues to work indefinitely. Versions released after your window ends will ask you to renew before they can be used; the version you already have is unaffected.

5. Your data

Your books are files on your Mac. They belong to you. We do not receive, store or access them, and nothing in these terms gives us any right to them. You are responsible for keeping backups; LedgerCaddy includes automatic backups to help, but a backup that lives on the same disk as the original is not a substitute for your own backup practice.

6. LedgerCaddy is not accounting advice

LedgerCaddy records what you enter and produces reports from it. It does not provide tax, accounting or legal advice, and its reports are only as accurate as the records you keep. You remain responsible for your bookkeeping, your filings and for reviewing any report before relying on it.

7. Refunds

8. Warranty and liability

We work hard to make LedgerCaddy reliable, and it is tested before every release. Even so, LedgerCaddy is provided "as is" and, to the fullest extent permitted by law, without warranties of any kind, express or implied, including fitness for a particular purpose. To the fullest extent permitted by law, our total liability for any claim connected with LedgerCaddy is limited to the amount you paid for it, and we are not liable for indirect, incidental or consequential loss, including lost data, lost profits or the cost of professional services. Some jurisdictions do not allow these limitations, in which case they apply to the extent permitted.

9. Termination

Your license ends only if you materially breach these terms, for example by sharing your key. Otherwise it lasts for as long as you wish to use LedgerCaddy.

10. Changes to these terms

We may update these terms for future purchases. The terms that apply to your purchase are the ones published on the date you bought. We will not change the perpetual nature of a license you have already bought.

11. Governing law

These terms are governed by the laws of Canada and of the province in which DART Management Inc. is incorporated, and any dispute will be resolved in the courts there.
